Tender and Administrative Law
Public entities – Gal has accumulated vast experience in managing and assisting public entities during hundreds of tender proceedings and other competitive proceedings in diverse fields. These include local and international tenders for the purchase of goods and services, consultancy tenders, various types of construction and infrastructure tenders, communications tenders, and complex technological tenders.
Within this framework, Gal has gained considerable experience in advising tender committees, in drafting legal and professional tender principles, and in drawing up all required tender documents in full collaboration with subcommittees. Furthermore, Gal is well versed in defining threshold conditions and criteria for bid evaluations, in preparing legal opinions for tender committees, in providing advice and assistance in relation to the examination of the bids received in a tender, in conducting negotiations and reaching settlement arrangements, and in administrative litigation.
Private entities – Gal assists many local and international private entities in preparation for and during tender proceedings and other competitive proceedings. His services include drafting agreements/preliminary cooperative arrangements for joint ventures, analyzing and assessing the risks and prospects of a tender (before and after receiving answers to requests for clarification), and drafting legal-professional-economic requests for clarification. He also prepares responses to requests for supplementary information, prepares for and participates in clarification meetings and hearings, and provides representation in administrative litigation proceedings.
Projects, infrastructure, and guidance during construction management
Gal has experience in providing ongoing legal services for infrastructure and construction projects employing the Construction Management (CM) and Design-Build (DB) methods and for projects in conjunction with the public sector (PFI/BOT). He offers such services to private contractors, operators, and customers. Within this framework, Gal has advised public entities and private contractors during infrastructure and construction projects at volumes of billions of shekels. His work consists of drafting engagement agreements for various performance contractors and consultants, preparing contract surveys, providing ongoing risk management and analysis throughout the life cycle of a project, and drafting legal opinions. It also includes offering recommendations and preparing applications for deviations and change instructions, analyzing and forecasting project exposures and risks, negotiating and drawing up settlement arrangements with customers/performance contractors, and providing representation in contractual litigation proceedings.
Corporate Governance
As part of his intensive legal assistance to public entities, Gal has amassed considerable experience in the corporate governance of public entities. Gal serves as a regular (external) legal advisor to the boards of directors/governing councils and members of management of public entities. His legal services include preparing legal opinions, in particular legal opinions for tenders and contracts; providing ongoing legal advice regarding the organizational structure of government companies; providing training and instruction to employees of public entities and committees, including training according to the Mandatory Tenders Regulations while emphasizing compliance with a company’s procedures; and interfacing with and providing representation opposite regulatory authorities and the like.
Technological systems and licensing
Gal possesses singular expertise in preparing technological engagements and in advising projects about the characterization, construction, installation, licensing assimilation, and maintenance of complex technological systems. These include ERP and CRM systems and cloud-based systems and software as a service. Gal also advises on agreements for the installation and assimilation of information systems and complex software systems in organizations according to a variety of licensing models, various agreements in the field of computing and information technology (IT), license and maintenance agreements, hardware sale and purchase agreements, distribution agreements, end-user license agreements (EULA), and website regulations and terms of use in accordance with the unique characteristics of each website/application. As part of this counsel, Gal regularly considers aspects of intellectual property and privacy protection (including compliance with the GDPR).
