Sagi Gross

A Corporate Department partner, Adv. Sagi Gross is a member of the firm’s mergers & acquisitions team and also heads the firm’s nongovernmental organizations (NGO) practice.

Sagi’s practice is focused on various corporate matters, and he has extensive experience advising nonprofit and public-sector organizations on a wide range of transactions, corporate governance, and regulatory matters.

 

Sagi advises diverse commercial clients, limited liability companies, general and limited partnerships, and communal associations (cooperative societies) ontheir ongoing business activities and various transactions. This includes mergers and acquisitions; sales of assets; joint ventures; e-commerce transactions; distribution, supply, and service agreements; and franchising and manufacturing agreements.

 

Sagi regularly counsels nonprofit sector clients, including non-government organizations (NGOs), public benefit companies, and endowments, on commercial and regulatory matters, including providing representation before regulators and governmental authorities.

 

Sagi also coordinates the environmental practice at the firm, advising the firm’s clients on cleantech standards, sustainability, waste recycling, and corporate social responsibility (ESG). He takes a special focus on monitoring and identifying environmental-related risks during due diligence processes.

Aluf Hamizronim Signs Long-Term Lease for Approximately 12,000 sqm at LOGIX Kfar Saba

Aluf Hamizronim has entered into a long-term lease agreement for approximately 12,000 sqm at the LOGIX Kfar Saba project, developed by Rani Zim Shopping Centers and Kardan Geva. The transaction includes approximately 3,000 sqm for a flagship retail store and an additional 9,000 sqm designated for logistics and storage facilities, under a lease term of approximately 20 years. Spanning approximately 95,000 sqm, the LOGIX Kfar Saba project combines retail, logistics, and data center facilities. Aluf Hamizronim was represented in the transaction by Adv. Alon Wolner, Adv. Sagi Gross, and Adv. Shani Goldraich of our firm.

Activities by NPOs During the State of Emergency in Israel

In light of the declaration of a state of emergency on the home front following Operation Epic Fury, the Registrar of Associations and Endowments clarified that NPOs and public benefit companies (PBCs) may continue operating under the lenient directive dated October 10, 2023. This allows them to carry out activities aimed at providing immediate and essential assistance during the state of emergency, even if such activities do not fully align with their approved objectives.

New Israel Tax Authority Reform: Donations Not Reported Digitally Won’t Qualify for Tax Benefits

Adv. Sagi Gross, who heads our firm’s NPO practice, was interviewed by Globes regarding the new reform that mandates all donation receipts be issued digitally. According to Sagi, the reform marks a significant shift in how donations are regularly processed and managed. For example, although some nonprofits currently use digital systems to manage their donations, it is unclear if all existing platforms will be compatible with the Israel Tax Authority’s new donation reporting system. As a result, many organizations may need to prepare in advance and go through an adjustment period.
