The International Commercial Department provides ongoing legal counsel on corporate and commercial matters to Israeli and international clients.

The position includes drafting and negotiating complex commercial agreements, managing investment transactions and mergers and acquisitions (M&A), and working on international financing transactions and commercial agreements in the energy and infrastructure sectors.

Requirements:

• 1–3 years of experience in commercial law
• English at a very high level (95% of the work is in English)

Our firm’s White-Collar Department specializes in representing both companies and individuals in complex criminal and administrative proceedings in the fields of economic and commercial law.

The department’s work includes managing cases involving securities disclosure violations, insider trading, investor fraud, market manipulation, capital markets violations, environmental offenses, and more. In addition, the department represents clients in numerous international matters, both criminal and civil-commercial, such as extradition proceedings, fraud and deception cases, shareholder disputes, and the recovery of fraudulently obtained assets.

The department has unique expertise in advising Israeli clients involved in complex proceedings in the United States and Europe.

Requirements:

• 1–3 years of experience in criminal or civil litigation
• Preference for candidates with experience in white-collar departments or the State Attorney’s Office

• Strong analytical abilities, strategic thinking, and excellent interpersonal skills

Our firm’s Insolvency and Corporate Recovery Practice advises companies, nonprofits, and creditors facing financial distress, supporting them through recovery and restructuring processes and complex debt arrangements. We manage court proceedings, lead commercial and corporate litigation, and provide legal opinions on insolvency, officers’ liability, and corporate governance.

The practice represents leading Israeli corporations and insolvency officeholders, as well as international clients.

The role includes supporting clients in insolvency proceedings, formulating and leading debt arrangements, advising creditors, and handling commercial and corporate litigation related to recovery and rehabilitation proceedings.

Requirements:

• 2–4 years of experience in insolvency law and/or commercial litigation
• Background in corporate insolvency, commercial litigation, economics, and/or accounting – an advantage
• Strong sense of responsibility, excellent legal writing skills, and creative thinking

Our firm’s Employment Department offers legal advice on a wide range of labor law matters. The role includes providing ongoing counsel to employers, advising on the employment aspects of commercial transactions, and managing labor and employment litigation proceedings.

Requirements:

• 3–5 years of labor law experience

Our firm’s Competition and Antitrust Department provides clients with comprehensive legal services for all matters relating to Israeli competition law, including representation before various judicial forums, including the Competition Tribunal, the Competition Authority, government bodies, and Knesset committees. We also offer guidance in transactions and other business initiatives, the preparation of dedicated internal compliance programs, and holistic ongoing advisory services.

The department’s regulatory expertise and specialization, alongside competition law, includes related areas such as the Concentration Law and Food Law, trade levies (anti-dumping), and regulations in relevant fields, including telecommunications regulation, financial regulation, and others.

The department’s clients include Israeli and international corporations from both the private and public sectors, government companies, companies and startups, and foreign companies and law firms from all various industries in the economy.

Requirements:

• 0–6 years of experience as a lawyer specializing mainly in competition law
• Background working at a leading competition law firm and/or for the Competition Authority
• High-level English proficiency – reading, writing, and speaking
• Experience managing cases and clients independently, including mergers, compliance programs, ongoing advisory work, and complaints to and from the Competition Authority

The Tax Department takes part in cutting-edge legal work in the field of taxation, including advising on complex and multidisciplinary transactions and creating tax structures for both leading Israeli and international individuals and corporations.

The position involves advising on local and international transactions from various tax perspectives, planning optimal tax structures for companies and individuals, handling international and local taxation, providing ongoing counsel, and supporting tax assessment procedures with the Israel Tax Authority, including managing tax appeals and securing optimal arrangements for clients. The work also involves collaboration with other departments in the firm.

Requirements:

• 2–3 years of experience in tax law
• High-level English proficiency – reading, writing, and speaking
• Significant advantage for former Israel Tax Authority employees and/or holders of a CPA license

The Capital Markets Department provides legal support to public companies on all regulatory matters, including guiding acquisitions and/or mergers involving public companies, providing legal counsel to boards of directors, participating in board and committee meetings, preparing immediate and periodic reports, drafting prospectuses, managing the legal operations of equity and debt fundraising, representing clients vis-a-vis the Israel Securities Authority and the Tel Aviv Stock Exchange, and more.

Requirements:

• 1–3 years of experience advising public companies and/or counseling on capital markets law

The position entails representing leading international companies, investment funds, and foreign corporations in the execution of acquisition transactions and investments in Israeli companies.

The work includes managing and leading negotiations, drafting various transaction agreements (such as share purchase agreements, asset purchases, investment contracts, financing agreements, etc.), and guiding investors in the acquisition process.

Requirements:

• 5–6 years of experience in the field (M&A experience is mandatory)
• English at a very high level (95% of the work is in English)
• Graduate of a recognized university

The position includes providing ongoing representation and support to entrepreneurs and startup companies in commercial and corporate aspects of the law, including the handling of investment transactions and mergers and acquisitions.

In addition, the position involves representing clients, managing negotiations, drafting various agreements and working in tandem with professional teams.

• 3–7 years of experience in the field (experience with representing startups is mandatory)
• English at a very high level (95% of the work is in English)
• Graduate of a recognized university

Our Litigation Department represents local and international corporations and businesspersons in complex commercial litigation, including derivative suits, class actions, and corporate disputes.

Legal services begin with the formulation of a legal strategy in the preliminary stages of the case, and continue through the drafting of pleadings and representation before the court until the end of the legal process, including dispute resolution by way of arbitration or mediation.

Requirements:

• 0-6 years of experience
• High-level English and experience working with international clients
• Experience working in a large firm – an advantage

The Real Estate Department specializes in providing legal counsel to clients in real estate transactions and projects from a wide range of fields, including commercial real estate (income producing), residential real estate, urban renewal, financing transactions, etc.  The team’s clients include some of the largest and most significant real estate companies and entrepreneurs in the economy.

Requirements:

• 2–5 years of experience in the real estate field
• Experience advising on real estate transactions, providing legal counsel to entrepreneurs in urban renewal projects, representing clients in sales agreements (including combination schemes and income yielding real estate), representing clients and managing negotiations for financing agreements and rental agreements, registration of rights in real estate, and providing ongoing counsel in construction projects until the stage of occupancy
• High-level English

The role includes providing front-desk services to large corporate clients, including international clients; handling incoming telephone calls; providing ongoing administrative support to all office staff; and coordinating with various internal teams and external suppliers (couriers, mail providers, service professionals, etc.). The work is in shifts.

The position includes managing the schedules of several of the firm’s partners, coordinating meetings, and working closely with the firm’s various internal interfaces as well as with clients in Israel and abroad.
