Advising Azrieli Group on New Assisted Living Project Awarded in Government Tender

We are advising the Azrieli Group on the development of a new assisted living project in the Sde-Dov neighborhood in northern Tel Aviv, following Azrieli’s win in a government tender for the establishment of a large-scale senior housing complex. The Sde-Dov area, located on the grounds of the former airport, is being developed into a new residential district planned to include approximately 16,000 housing units, a central park, and the preservation of historic elements.

Share Transfers Between Siblings Are Tax-Exempt - Even Indirect Gifts from Parents

A recent district court ruling broadened the interpretation of the statutory provisions governing exemptions from land appreciation tax and ruled that transfers of shares of a real estate association as a gift between siblings are exempt from capital gains tax even if the shares were not direct gifts from the parents but originated from land received as a gift from them. The court also prescribed several important procedural rules to improve the protection of taxpayers’ rights vis-à-vis the Israel Tax Authority (ITA).

Our firm represents Meuhedet Health Services, the third-largest HMO in Israel, in a wide range of real estate matters across the country, from negotiating and drafting lease agreements for clinics to advising on the acquisition of properties of significant value. Among other matters, we represented Meuhedet in the purchase of a commercial property in Bnei Brak for approximately ILS 40 million. We are currently advising on a transaction for the acquisition of commercial properties in Bnei Brak and Beit Shemesh valued at over ILS 100 million.

Representing Azrieli in the Acquisition of Control over Zemach Hammerman

Our firm is representing Azrieli in a strategic transaction to acquire control of Zemach Hammerman, with an estimated company valuation of approximately ILS 635 million, as part of a reverse triangular merger. Under the original offer, Azrieli aims to purchase about 67% of Zemach Hammerman’s shares for up to ILS 440 million, marking the group’s expansion into residential real estate development and construction in Israel. Our firm is supporting Azrieli throughout all stages of the transaction, including legal counsel on regulatory matters, transaction structuring, negotiations, and public company risk management.

Advising Azrieli Group on the Construction of the Spiral Tower in Tel Aviv

Our firm advises the Azrieli Group on the development of the Spiral Tower, currently under construction and located east of Menachem Begin Road, in Tel Aviv’s northern business district. The group has obtained a permit to build a mixed-use skyscraper of up to 91 stories (approximately 350 meters tall), including a seven-level underground parking facility with about 1,150 parking spaces. The project allows for the construction of 148,000 square meters of commercial, hotel, and residential space. At the tower’s base, a 13,000-square-meter shopping mall is planned as an extension of the existing Azrieli Center Mall.
