Barnea: Representing Azrieli Group in ILS 855 Million Acquisition

Our firm represented Azrieli Group in its acquisition of a 67% controlling stake in Zemach Hammerman, a complex transaction valued at approximately ILS 855 million. The deal was executed through a reverse triangular merger. Azrieli Group was advised by Adv. Micky Barnea, Adv. Misha Gitterman, and Adv. Tal Freilich, with additional support from our Real Estate, Employment, and Capital Markets Departments.

Barnea: Representing Chargeflow in USD 14 Million Seed Round

Adv. Yuval Lazi and Adv. Nofar Rose David represented Chargeflow, a startup using AI to fight chargeback fraud, in an investment led by the VC firm OpenView Venture Partners. We provided legal advice on all aspects of the transaction, including labor law matters.

Conference: The High-Tech Employment World

We hosted members of the Association of Corporate Counsel (ACC) for the conference, "The High-Tech Employment World." The conference focused on key issues in Israel's high-tech employment market and featured lectures on topics including non-compete clauses in employment agreements, the workforce as a critical element in the workplace, and more. Speakers included Adv. Micky Barnea, our firm's managing partner; Nani Maoz, Founder, Chairman, and CEO of Everest; and firm partners Adv. Harel Perlmutter, Adv. Netta Bromberg, Adv. Inbar Gorelick, and Adv. Amos E. Rosenzweig.

Barnea Represents Inomize in Transaction with Facebook (Meta)

We advised Inomize, an Israeli developer and manufacturer of electronic components, on its acquisition by Facebook through the transfer of Inomize's employees' know-how and expertise. Adv. Ariella Dreyfuss led the transaction, with Adv. Netta Bromberg and Adv. Jacki Silbermann advising on employment matters.

Barnea Represents GAP Inc. in Acquisition of Israeli Startup

Our firm advised fashion retail giant Gap on its first significant acquisition of an Israeli technology startup. As part of the transaction, CB4's team will join Gap as full-time employees. Adv. Simon Jaffa and Adv. Ariella Dreyfuss represented the US clothing and accessories retailer, while Adv. Netta Bromberg and Adv. Jacki Silbermann advised on the employment matters arising from the transaction.

Barnea Represents Topaz Family in Sale of Holdings in Keystone Group

Approximately a year and a half after Accelmed, the investment fund managed by Uri Geiger, announced the merger of its US-based portfolio company, Keystone Group, with Israeli company Paltop, controlled by Shmuel Topaz, Accelmed is acquiring all remaining holdings in Paltop for ILS 100 million. The transaction resolves the dispute between the Paltop and Accelmed investor groups. Our firm represented the Topaz family and Paltop’s investors.
