Steel Partners Sues InMode

We represent US investment fund Steel Partners in litigation against InMode, its CEO, and its board of directors, focused on the question of who qualifies as the de facto controlling shareholder of a public company. In the claim, we argue that although the CEO holds only 7% of InMode’s shares, he effectively exercises control over the company. As a result, the acquisition offer he submitted should be subject to the stricter rules and standards applicable to controlling shareholders. The lawsuit comes amid an escalating battle for control of InMode, which is traded on Nasdaq and has a market capitalization of approximately USD 900 million. Supreme Court Upholds Third-Party Sale Mechanism in Corporate Deadlock Dispute

The firm’s Litigation Department represented Panda Trading Systems in proceedings before the Supreme Court concerning a complex dispute between two equal shareholders, which resulted in the private company becoming embroiled in a prolonged deadlock. After the District Court accepted the firm’s position and ruled that the appropriate separation mechanism under the circumstances was the sale of the company or its operations to the highest bidding third party, an appeal was filed with the Supreme Court. The Supreme Court dismissed the appeal and upheld the District Court’s ruling, rejecting the claim for a forced buyout of the company’s shares. Panda was represented by Adv. Zohar Lande, Adv. Lina Makhuli, and Adv. Keren Ben Mordehay from the firm’s Litigation Department.

Another Court Victory: Dispute Arising from a Loan Agreement

A judgement rendered in December 2025 marked another victory for our firm. The District Court accepted our position and ordered the defendants—an American company and an Israeli citizen—to repay the plaintiff a loan of ILS 647,000, together with 10% annual interest for a period of 12 months, and awarded the plaintiff ILS 150,000 in legal costs. The court rejected the defendants’ arguments that the loan agreement was merely “nominal” and held that it is binding between the parties. At the same time, the District Court fully dismissed the counterclaim filed against our clients, which related to their relationships as shareholders in a startup and to joint investments in cryptocurrencies. The court ruled that the counterclaim was groundless and constituted a “tactical” claim intended to create leverage against the main action. Adv. Ofer Efrat represented the client throughout the complex proceedings.

Lina Makhuli, is representing Shabtai Alon in a ILS 50 million civil lawsuit against Michael (Micho) Mirilashvili, father of Yitzhak Mirilashvili, licensed owner of Channel 14. Yesterday, Calcalist published parts of Zohar Lande’s cross-examination, which included questions regarding company registrations under third parties’ names, undocumented business activities, and political connections.

Court Victory in Franchise Law: Win for the Kfar HaSha’ashuim Retail Chain

Our firm achieved another significant legal success in the field of franchise law, representing the Kfar HaSha’ashuim retail chain in a lawsuit against a former franchisee. A Win for Zeev Rom: Gad Zeevi to Pay Another USD 1.5 Million in Brokerage Fees

Following a Supreme Court hearing, Gad Zeevi and Zeev Rom agreed to withdraw their respective appeals, leaving in place the District Court ruling ordering Zeevi to pay Rom USD 1.5 million in connection with the financing of the purchase of Bezeq shares in 2000. Rom was represented by Adv. Zohar Lande and Adv. Moran Bickel of our Litigation Department.

Roni Lish, the minority shareholder in the franchise company of the French culinary brand Fauchon, is suing his partner in the franchise. Central District Court Rejects Class Action Against Espresso Club

The Central District Court has rejected a 2015 application to certify a class action against Espresso Club over allegations that it misled customers about how they would be charged for a coffee capsule package. The court also ordered the applicant to pay all legal costs. Espresso Club was represented by Adv. Zohar Lande and Adv. Itay Hatam of our firm’s Litigation Department.

District Court Rejects Scheduled Vote of Purchase Group United Sarona

The Tel Aviv District Court granted a motion by more than 50 members of the United Sarona purchase group to block a vote at a meeting scheduled for today. The members, represented by Adv. Zohar Lande, head of Barnea’s Litigation Department, argued that the process of convening the meeting was materially flawed, including a failure to provide sufficient information.

High Court Issues Interim Order on Channel 20’s Winning Bid for Knesset Channel

RGE, represented by Adv. Zohar Lande, Adv. Ronen Reingold, and Adv. Adi Shoham, petitioned the High Court of Justice to challenge the results of the tender to operate the new Knesset Channel. RGE sought an interim order preventing an agreement with Channel 20, the winning bidder. At today’s hearing, the court granted the interim order, putting the tender results on hold.

Foreclosure Imposed on Arena Star Group Ltd.

Roni Mana, represented by Adv. Zohar Lande and Adv. Gal Livshits of Barnea’s Litigation Department, asked the court to order Arena Star Group Ltd. to pay brokerage fees in connection with the sale of the Arena Mall in Herzliya. Today, the Tel Aviv District Court granted Mana’s application for a temporary attachment of the proceeds received by the company from the sale.

The Haifa District Court ruled that Gad Zeevi would have to pay businessman Zeev Rom USD 1.5 million in brokerage fees in respect of a deal in which Zeevi acquired 20% of Bezeq in 2000. Adv. Zohar Lande and Adv. Moran Bickel from the Litigation Department represented Zeev Rom.

Nespresso Loses Suit Filed Against Espresso Club

The Tel Aviv District Court dismissed a lawsuit brought by Nespresso and global food company Nestlé against Israeli company Espresso Club. Nespresso alleged that Espresso Club’s advertisement featuring a George Clooney look-alike infringed its intellectual property rights and constituted unfair competition. The court rejected Nespresso’s claims and ordered it to pay Espresso Club ILS 110,070 in legal costs. Espresso Club was represented by Adv. Zohar Lande, Adv. Itay Hatam, and Adv. Gili Cohen-Arazi.
