Lawsuit Against Berggruen Residential Limited and Hajaj-Cohen Investments
Our firm represents the tenants’ representatives and 189 apartment owners in the Meier on Rothschild luxury project in a lawsuit against the project’s entrepreneur and founder, Berggruen Residential Limited, and Hajaj-Cohen Investments. The ILS 2.8 million lawsuit alleges that serious defects and deficiencies were discovered in the project.

Shareholder Dispute at SeeTree Startup
Adv. Eyal Nachshon and Adv. Shachar Rothschild represent the minority shareholders of the SeeTree startup. The minority shareholders, who until recently held 3.8% of the company’s shares, claim in the lawsuit we filed that their holdings were diluted to 3.074%, depriving them of their rights, while the majority shareholders exceeded their authority and violated obligations to them. The startup completed a sixth round of funding this year at a value of USD 70 million.

Representing Azrieli Group against MOH Plan to Mark Vaccinated People with Bracelets in Malls
As part of a new wave of COVID-19 restrictions, the Israeli Ministry of Health sought to implement a plan to mark vaccinated people with bracelets in all malls and shopping centers, thereby allowing them to walk freely around such complexes, as opposed to unvaccinated people. The Azrieli Group, through Adv. Zohar Lande, Adv. Eran Winner, Adv. Anat Even-Chen, Adv. Ido Vakshi, and Adv. Gaya Tsarfati, sent an urgent appeal to the Prime Minister, the Ministers of Health, Economy and Industry, and Justice, and the Attorney General. In the appeal, we argued that the plan is “discriminatory, offensive, unreasonable, and disproportionate.” In light of the criticism, the Prime Minister and the Minister of Health have decided to walk back the bracelet plan and not include it in the government vote for implementing the Green Pass in malls.

To Tag or Not to Tag: Delta Wins Suit over Sharing Customer's Photo on Instagram
An Israeli magistrates' court recently discussed the issue of copyright infringement regarding the use of a tagged photo on Instagram. According to Adv. Gal Livshits, a firm partner interviewed by Israel Hayom on the subject, "Sharing a picture of others on social media is so common we do it often without even thinking, but we must be aware that sharing a piece of content (picture, text, etc.) has consequences."

Barnea Represents ISI in Petition Against Israeli Ministry of Health
We represented Israel Scientific Instruments Ltd. (ISI) in a petition filed with the Jerusalem District Court against the Ministry of Health and others, alleging that the Ministry's tender for the procurement of coronavirus tests was conducted inequitably and granted ISI's competitors an unfair advantage. Adv. Eran Winner, Adv. Ido Vakshi, and Adv. Gaya Tsarfati represented ISI in the petition, which seeks to cancel the tender and issue a new one.

District Court Ruling: Azrieli Foundation Exempt from Paying Taxes on Dividends
An Israeli district court rejected the Israel Tax Authority’s attempt to force the Azrieli Foundation to pay taxes in the amount of tens of millions of shekels for dividends it received and continues to receive due to its holding in Azrieli Group's shares. The court accepted the tax appeal, which was filed by Barnea Jaffa Lande, and ruled that the Azrieli Foundation, a nonprofit organization that works for the public good in Israel, is not the controlling owner of Azrieli Group and is therefore entitled to a tax exemption. The court ruled, among other things, that the ITA’s position could have a chilling effect in relation to business entities’ support of philanthropic associations. Adv. Zohar Lande, Adv. Eyal Nachshon, Adv. Harel Perlmutter, Adv. Nir Ziman, and Adv. Omer Keydar represented the Azrieli Foundation throughout the proceedings, which lasted about five years.

Representation in "Pancake House" Family Business Dispute
A dispute between the family of the founder of the Pancake House chain has recently made headlines. The dispute erupted when one of the founder's sons accused his nephew (the founder's grandson) of violating the chain's trademarks by launching a new Tel Aviv venture called "TLV Pancake House" as a continuation of his grandfather's legacy. Adv. Eyal Nachshon and Adv. Naama Moshe are representing TLV Pancake House and the founder's grandson in the legal proceedings.

Representation in a Dispute with a Cooperative Association
In recent days, the story of an Arab citizen named Samar Graeb has made headlines. About a year ago, he bought a house in the Hapoalim neighborhood in Afula and applied to be accepted as a neighborhood resident. The neighborhood committee rejected his request, claiming that it was a neighborhood with a Jewish, Zionist, and secular character. Adv. Shai Avnieli is representing Graeb in proceedings before the neighborhood committee and has appealed its decision. Next week, a meeting is expected to convene, during which members will vote on whether to accept or reject the neighborhood committee's decision.

Mediation Agreement Between Actors' Organization and Eshkolot Reaches Court
Israeli Attorney General Avichai Mandelblit has submitted his opinion on the mediation agreement signed by the actors' organization Shaham and a number of performing artists with Eshkolot. An article published in TheMarker describes the management changes being undertaken by Eshkolot as a result of the legal proceedings against it. Adv. Eyal Nachshon, who represents Shaham and the artists, noted that Shaham and a number of artists have been leading this legal proceedings for some time, demanding both significant changes to Eshkolot's management and increased transparency. One of the most substantial achievements in the process so far, thanks to the mediation arrangement, is that, for the first time, members from the younger generation of performing artists in Israel are being included in Eshkolot's management.

The Battle Firing Up Prominent Artists in Israel
In recent years, prominent Israeli artists have raised concerns about transparency in the management of their royalties by Eshkolot, a company that administers artists’ royalties. Several of these artists are shareholders in the company, and some previously held positions within it. Adv. Eyal Nachson was interviewed by TheMarker on the subject. He explained: “At the court’s recommendation, Shaham - The Israel Actors’ Association engaged in a comprehensive mediation process with Eshkolot. The parties reached an agreement that will strengthen oversight of royalty funds.”

New Ruling Expected to Reduce Managers' Responsibility Following a Company's Collapse
In an important ruling recently handed down, the Tel Aviv District Court rejected a ILS 120 million lawsuit filed by Habas Group against the company's managers. Judge Kabub's ruling constitutes an initial interpretation of a new section of the the Insolvency and Rehabilitation Law, which deals with the degree of responsibility that can be attributed to managers when the company they run becomes insolvent.

Administrative Appeal to Cancel Land Grant
Last April, the Israel Land Authority allocated a 34-acre plot in Ashdod to Maxima, a company controlled by billionaire George Horesh, without a tender. Three private landowners with factories nearby petitioned to overturn the allocation. Adv. Zohar Lande, Adv. Gal Livshits, and Adv. Adi Shoham represented the petitioners.
