Landmark Ruling: Dismissal of a CEO Following a Change in Controlling Shareholders

In a precedent-setting decision, Israel’s National Labor Court ruled that a private company may lawfully dismiss its CEO following a change in controlling shareholders, even without citing personal or professional shortcomings. The Court also upheld our arguments that a company may negotiate with a prospective CEO before completing the outgoing CEO’s hearing, and that appointing a new CEO from among board members does not constitute impropriety or a conflict of interest, even if that director participated in the dismissal decision. Advising Azrieli Group on New Assisted Living Project Awarded in Government Tender

We are advising Azrieli Group on the development of a new assisted living project in the Sde-Dov neighborhood in northern Tel Aviv, following Azrieli’s win in a government tender for the establishment of a large-scale senior housing complex. The Sde-Dov area, located on the grounds of the former airport, is being developed into a new residential district planned to include approximately 16,000 housing units, a central park, and the preservation of historic elements.
