Cardiology Association Petition Leads to Reconsideration of Budget Cuts
We are proud to represent the Israel Heart Society in a High Court petition challenging budget cuts that could have affected the availability and quality of public cardiology services, particularly life-saving catheterization procedures. Following the petition filed by Gal Livshits and Yoav Schmidt of our firm, the State announced that it would defer a substantial portion of the cuts, reassess the pricing implications, and provide additional funding for afternoon catheterization services.

Maccabi Tel Aviv Shareholder Dispute Referred to Arbitration
We are representing Richard Deitz, a shareholder in Maccabi Tel Aviv Basketball Club and Chairman of VR Capital Group, in a shareholder dispute concerning the club's ownership structure. Following steps taken by the other shareholders which, according to Deitz, were intended to prevent him from increasing his stake in the club, we applied to the court for interim relief pending resolution of the dispute through arbitration. Under the court's decision, the dispute will proceed to arbitration, including the question of Deitz's right of first refusal to acquire additional shares in the club. Renuar and Castro-Hoodies to Launch Chinese Sportswear Brand ANTA in Israel
Adv. Ilan Blumenfeld and Adv. Shay Morhaim of our firm represented the Renuar Group in a strategic transaction with the Castro-Hoodies Group to launch the Chinese sportswear brand ANTA in Israel. Under the transaction, a joint venture will be established, with Castro-Hoodies holding a 51% interest and Renuar, together with Israel Chen, who will serve as the company's CEO, holding the remaining 49%. Operations are expected to commence in 2027 and will include retail stores, wholesale distribution, and online sales, leveraging the retail infrastructure of the Renuar-ING Group.

Lecture at Israel Bar Association Real Estate Tax Conference
Adv. Maya Carmi Lubartovski, partner and head of the firm's real estate taxation practice, spoke at the Israel Bar Association Tel Aviv District's conference, "Taxation and Real Estate – The Fine Line Between Private and Business Real Estate Transactions." Amy Group Signs ILS 350 Million Strategic Investment Agreement with Migdal
Our firm is advising Amy Group on a strategic investment agreement with Migdal Insurance and Financial Holdings, under which Migdal will extend ILS 350 million in credit to Amy Group. Adv. Misha Gitterman advised Amy Group, which is controlled by Shlomi Nehiesi, on the transaction. The agreement supports Amy Group's growth strategy in the commercial and income-producing real estate sectors. Under the agreement, Migdal will receive options to acquire 10% of Amy Group's shares, which will be issued upon the company's IPO.

Prof. Amichai Cohen, a special counsel at our firm, has been appointed Vice President of Research at the Israel Democracy Institute. In his new role, he will lead the IDI's research division and oversee its research activities in the fields of democracy, law, government, and national security. Steel Partners Sues InMode
We represent US investment fund Steel Partners in litigation against InMode, its CEO, and its board of directors, focused on the question of who qualifies as the de facto controlling shareholder of a public company. In the claim, we argue that although the CEO holds only 7% of InMode’s shares, he effectively exercises control over the company. As a result, the acquisition offer he submitted should be subject to the stricter rules and standards applicable to controlling shareholders. The lawsuit comes amid an escalating battle for control of InMode, which is traded on Nasdaq and has a market capitalization of approximately USD 900 million. Steel Partners is represented by Adv. Mediterranean Towers Expands Operations with ILS 700 Million Senior Living Project
Adv. Dudi Cohen, a partner and head of the firm's Capital Markets Department, and Adv. Omri Oren, a partner in the Capital Markets Department, are advising Mediterranean Towers Ltd. on its successful bid in the Givat Shmuel Municipality tender for the development of a new senior living community. The project, valued at approximately ILS 700 million, is expected to include around 350 residential units, a skilled nursing ward, commercial space, and public facilities, further expanding the company's senior living portfolio in Israel.
