HIPER Global will acquire 100% of the shares of Israeli company EPS Technologies for approximately ILS 60 million, with an additional contingent consideration mechanism of up to ILS 42 million. EPS will continue its operations as usual following completion. Adv. Ilan Blumenfeld, Adv. Shay Morhaim, and Adv. Cipia Vision Ltd. has convened a shareholders’ meeting to approve a merger with Tomer Import and Marketing of Food Products (1983) Ltd., expected to take place in early May. Upon completion, Cipia will acquire 100% of Tomer’s shares through a share exchange, with Tomer’s controlling shareholder expected to hold approximately 70.99% of the merged company. Tomer has also reported growth in revenues and profitability. We are representing Tomer throughout the transaction and until its completion.

Adv. Hadar Israeli, a partner at our firm, was interviewed about the Israeli President’s unique authority—positioned in the delicate space between law and morality—to reduce sentences, shorten critical record periods, or even erase charges or convictions. The interview was conducted in the context of the current President’s consideration of the Prime Minister’s request for a pardon. Hadar explains how pardon applications are reviewed, outlines the professional process carried out by the Pardons Department at the Ministry of Justice, and emphasizes the need to weigh legal considerations alongside moral ones, while maintaining a careful balance between the rule of law and the protection of the public interest.

Adv. Alon Abcasis from our firm was interviewed by Globes regarding a new framework recently introduced by the Planning Administration and the Government Authority for Urban Renewal, aimed at significantly shortening the approval processes for large-scale urban renewal (pinui-binui) projects. The framework is designed to streamline planning procedures and enhance economic certainty for developers through an integrated “roundtable” process involving both local and district planning committees. At the same time, Alon highlights the key challenges facing the initiative, noting that its success will largely depend on effective implementation by local authorities and the actual enforcement of regulatory timelines in practice.

Adv. Hadar Israeli, a partner at our firm, spoke with Globes about a troubling new phenomenon: unusual betting patterns and extraordinary activity across financial markets and prediction platforms just moments before major policy announcements. These patterns are raising growing concerns about the potential use of non-public, insider information. Hadar explains that enforcement is especially challenging in the crypto space, where identifying the individuals behind suspicious activity is inherently difficult. With no requirement for verified user identities, a single individual can control dozens of wallets, each appearing as a separate user, significantly complicating detection and enforcement efforts.

Eran discussed how these disputes evolve in practice, the strategic thinking behind corporate litigation, and the delicate balance between competing business and personal interests, all with the goal of achieving the best possible business outcome. He also highlighted key issues to identify and address throughout the process.

Doral Renewables LLC has signed agreements for the provision of guarantee facilities totaling approximately USD 525 million to support the development of large-scale solar energy projects. The guarantee framework will be provided by a group of international financiers led by Howden, a global insurance broker, with the support of the company’s Israeli shareholders, Doral Group and Migdal Group. The Israeli shareholders were represented by Adv. Samuel Henri Samuel, Adv. Daniel Adler, and Adv. Yehoshua Sedley from our firm’s International Commercial Department.

At a time when urban renewal is becoming an essential need, it is crucial to understand the rights and benefits available to senior citizens in pinui-binui (vacate and reconstruct) projects. Adv. Maya Carmi Lubartovski, a partner and head of the firm's Real Estate Tax Department, explains in a Maariv article the unique entitlements for seniors: tax benefits, the option to receive two apartments instead of one, relocation to alternative housing, and the ability to sell rights to the developer.

Adv. Adv. Terry Almozlino Arnon, a partner and head of our firm’s Real Estate Department, was interviewed by Globes as part of a special guide aimed at providing clarity during Operation Roaring Lion regarding the applicability of force majeure to contracts in the real estate and aviation sectors. Terry addressed the potential exemption from rent payments on days when commercial shopping centers are closed due to the war.

In today’s day and age, data centers are nothing less than the backbone of the modern economy. The shutdown of digital infrastructure can harm a country just as severely as physical damage. Adv. Hagit Ben Moshe, a partner and head of our firm’s Kibbutz Sector and Energy Department, was interviewed about the importance of recognizing and classifying data centers as national infrastructure projects, and the need to ensure energy independence to prevent disruptions to the flow of information and enable automatic backup even in extreme scenarios.

Our firm represented an architect and an architecture firm in a counterclaim related to a residential construction project, in which allegations of negligence and concealment of planning inconsistencies were raised. In January 2026, the court dismissed both the original claim and the counterclaim in full, rejected the plaintiffs’ allegations on the merits, and ordered the counterclaimant to reimburse our clients for attorney’s fees in the amount of ILS 70,000.
