Where Is Competition Law in Israel Headed?

HIPER Global Acquires EPS Technologies

HIPER Global will acquire 100% of the shares of Israeli company EPS Technologies for approximately ILS 60 million, with an additional contingent consideration mechanism of up to ILS 42 million. EPS will continue its operations as usual following completion. Adv. Ilan Blumenfeld, Adv. Shay Morhaim, and Adv. Shahaf Arbely from our firm are advising EPS throughout all stages of the transaction through to closing.

Merger Between Cipia Vision and Tomer Import and Marketing of Food Products

Cipia Vision Ltd. has convened a shareholders’ meeting to approve a merger with Tomer Import and Marketing of Food Products (1983) Ltd., expected to take place in early May. Upon completion, Cipia will acquire 100% of Tomer’s shares through a share exchange, with Tomer’s controlling shareholder expected to hold approximately 70.99% of the merged company. Tomer has also reported growth in revenues and profitability. We are representing Tomer throughout the transaction and until its completion.

Barnea: Representing Doral LLC in a USD 525 Million Guarantee Facility

Doral Renewables LLC has signed agreements for the provision of guarantee facilities totaling approximately USD 525 million to support the development of large-scale solar energy projects. The guarantee framework will be provided by a group of international financiers led by Howden, a global insurance broker, with the support of the company’s Israeli shareholders, Doral Group and Migdal Group. Legal Victory in Construction Dispute: Court Dismisses Claim Against Architect and Architecture Firm

Our firm represented an architect and an architecture firm in a counterclaim related to a residential construction project, in which allegations of negligence and concealment of planning inconsistencies were raised. In January 2026, the court dismissed both the original claim and the counterclaim in full, rejected the plaintiffs’ allegations on the merits, and ordered the counterclaimant to reimburse our clients for attorney’s fees in the amount of ILS 70,000.
