Barnea Representing Ness in Acquisition of DXC's Operations for USD 65 Million

Our firm is representing Ness Technologies, owned by Hilan, a TASE-traded software company, in a transaction to acquire 100% of the share capital of DXC Technology's IT services company in Israel (formerly EDS). The scope of the transaction is USD 65 million, and its completion is expected at the end of the first quarter of 2022. Advs. Micky Barnea, Yuval Lazi, Mayer Winkler, and Dana Ben-Yehuda represent Ness in the transaction.

Legal Tools for Your Venture’s Success

Yuval Lazi will lecture today on the necessary legal tools to ensure a venture’s success, as part of the entrepreneurship program WE - Women Entrepreneurship. WE is a community that promotes women (mainly female students and alumni) in the entrepreneurship field. It operates on various campuses, including Tel Aviv University, Hebrew University, Bar-Ilan University, Ben-Gurion University, the Technion, Reichman University (IDC Herzliya), and the College of Management.

Representing Azrieli Group against MOH Plan to Mark Vaccinated People with Bracelets in Malls

As part of a new wave of COVID-19 restrictions, the Israeli Ministry of Health sought to implement a plan to mark vaccinated people with bracelets in all malls and shopping centers, thereby allowing them to walk freely around such complexes (as opposed to unvaccinated people). The Azrieli Group, through Advs. Zohar Lande, Eran Winner, Anat Even-Chen, Ido Vakshi, and Gaya Tsarfati, sent an urgent appeal to the Prime Minister, the Ministers of Health, Economy and Industry, and Justice, and the Attorney General. In the appeal, we argued that the plan is “discriminatory, offensive, unreasonable, and disproportionate.” In light of the criticism, the Prime Minister and the Minister of Health have decided to walk back the bracelet plan and not include it in the government vote for implementing the Green Pass in malls.

Shareholder Dispute at SeeTree Startup

Advs. Eyal Nachshon and Shachar Rothschild represent the minority shareholders of the SeeTree startup. The minority shareholders, who until recently held 3.8% of the company’s shares, claim in the lawsuit we filed that their holdings were diluted to 3.074%, depriving them of their rights, while the majority shareholders exceeded their authority and violated obligations to them. The startup completed a sixth round of funding this year at a value of USD 70 million.

Accessibility Requirements for Public Company Reports – Advising the Association of Publicly Traded Companies

Our firm is advising the Association of Publicly Traded Companies vis-a-vis the Ministry of Justice, the Commission for Equal Rights for Persons with Disabilities, and the Israel Securities Authority regarding accessibility requirements for public company reports.   From the legal review we prepared for the client, we determined there is no place or justification, even from a broad international perspective, to impose accessibility requirements on companies with regard to public company reports, or to allow private enforcement (in the form of class action lawsuits) against public companies.

Do You Own Crypto? AML Order Also Applies to Digital Currencies

For the first time, companies providing virtual currency services will be required to comply with Israeli anti-money laundering provisions. This follows an amendment to the Prohibition of Money Laundering Order that recently came into effect. The amendment will apply to financial asset service providers obligated to hold a license under the Control of Financial Services Law.

Sagi Gross, Daniel Kleinman, and Izabel Pashayev represented Natoon Group and its shareholders in a sale of control of 70% of the group's holdings to Afcon Holdings, a public company. Natoon Group is engaged in asset management and operation services and the maintenance of fire safety systems.

To Tag or Not to Tag: Delta Wins Suit over Sharing Customer's Photo on Instagram

An Israeli magistrates' court recently discussed the issue of copyright infringement regarding the use of a tagged photo on Instagram. According to Adv. Gal Livshits, a firm partner interviewed by Israel Hayom on the subject, "Sharing a picture of others on social media is so common we do it often without even thinking, but we must be aware that sharing a piece of content (picture, text, etc.) has consequences."

Israeli Ministry of Environmental Protection: ILS 3 Million Sanction on Shufersal

The Israeli Ministry of Environmental Protection announced this week its imposition of a pecuniary sanction totaling about ILS 3 million on the leading supermarket chain Shufersal for violations of the Clean Air Law. (In particular, the company violated provisions mandating the reduction and prevention of air pollution from its vehicles).

Since the COVID-19 outbreak and the exacerbation of the climate crisis, ESG factors have increasingly influenced the profit line of businesses. The ESG Management Program at the Coller School of Management at Tel Aviv University, which will open in March 2022, will bring the most important aspects of ESG to those whose activities have an impact on the investment chain: executives, directors, investors, analysts, and public sector personnel. For the First Time, Israel Competition Authority Enforces Prohibition on Excessive Pricing

For the first time, the Israel Competition Authority has opened enforcement proceedings against a monopolist for abuse of its dominant position by charging an unfairly high price. Subject to a hearing, the authority intends to impose a pecuniary sanction of ILS 8 million on MBI Pharma Ltd. and personal sanctions on two officers of the company (of about ILS 600,000 each). The company faces accusations of charging an excessive price for Leadiant, a life-saving drug for CTX patients (an incurable genetic disease), which is marketed by MBI Pharma in Israel.

Indictments Filed in Israel over Officers’ Responsibility for Ecological Disaster

About seven years ago, one of the worst ecological disasters in Israel’s history occurred. During work to divert an oil pipeline, one of the old pipelines belonging to the government company Eilat Ashkelon Pipeline Co. Ltd. (EAPC) ruptured near the Evrona Nature Reserve. As a result, about five million liters of crude oil poured from the pipeline into the nature reserve located in the Arava Valley.

Everything to Know about the Purchase Tax Hike on Israeli Real Estate Investors

Earlier this month, the Israeli Ministry of Finance approved the outline for a hike to the purchase tax imposed on real estate investors, once again, to tax brackets of 8% and 10%. The Ministry of Finance has since updated that the purchase tax hike will take effect on Sunday, November 28. The ministry’s goal with this move is to “dissuade” investors from purchasing investment apartments and lower the demands in the residential housing market.
