Zohar Lande, Eran Winner, Lina Makhuli, and Chen Segal from our Litigation Department represented Panda, a private company embroiled in a shareholder dispute that caused a deadlock within its decision-making bodies. The dispute reached the Supreme Court, which issued an important and precedential ruling. The Court accepted the company’s position and outlined the proper manner for managing and resolving shareholder disputes, as well as rules of thumb for dealing with deadlocks in private companies. These included the option to classify a director in a private company as having a "negative personal interest" and even the possibility of not bringing a transaction for approval before the board’s general meeting.

Gal Livshits, Yatir Madar, and Liron Dahan from our firm’s Litigation Department are representing Gencell in a NIS 16 million lawsuit against the car importer EV Motors as well as Holon Motors. The suit alleges the defendants owe Gencell NIS 4.5 million for systems and equipment they purchased but did not pay for.

Israel’s Privacy Protection Authority has published new guidelines on the collection of biometric information in the workplace. In response, Dr. Avishay Klein, the head of our firm’s Privacy, Data Protection and Cyber Department, has compiled a practical guide for employers on the subject The guide was published on Mako.

Micky Barnea, our firm’s managing partner, participated in a forum for senior legal professionals hosted by Dun’s 100. Micky noted, “The legal reform was a distraction we got swept away by. The main point of the government’s reform was to say ‘we’re doing what we want’ and to undermine legal gatekeepers along the way.”

As an expert in international law, Professor Amichai Cohen, together with news correspondent Yaron Avraham, guest starred on Elad Simchayoff's "One a Day" podcast to discuss the sanctions imposed on Israeli settlers.

Ariella Dreyfuss and Inbar Gorelick participated in a femtech event hosted by our firm. As part of the event, Ariella lectured on founders’ agreements and Inbar on intellectual property.

As an employment law expert, Jacki Silbermann was interviewed by Israel Hayom about the rights of working parents. With regard to shortened work days, Jacki noted, “There are special arrangements that entitle parents to shorter work days for a certain period of time.  In the absence of a workplace arrangement regarding shorter work days, and if an employee requests such to take care of his children, he must reach an agreement with his employer."

Terry spoke with ICE about the Ministry of Finance's plan to impose additional burdens on the market for investment apartment buyers with the hope to increase housing supply and reduce prices. "To invigorate the real estate market, specific incentives, such as mortgage benefits, should be implemented," Terry proposed instead.

Yuval Lazi and Harel Perlmutter were interviewed by Globes about the transfer of Osem’s intellectual property rights to Nestlé. They explained how this transfer is likely to affect the State of Israel.

Advs. Shai Avnieli and Tal Shirizli represented Metpro in a judicial review petition brought by Metro Dan contesting the results of the tender published by NTA for management of the Gush Dan metro project. The court dismissed the claims against Metpro and the other successful bidders, admonishing the petitioner's behavior. The court further ordered Metro Dan to cover ILS 85,000 in expenses for each respondent.

Mediterranean Towers and Clal Insurance & Finance have signed an agreement to invest ILS 500 million for the establishment of a joint venture to locate and develop senior housing enterprises. The ILS 500 million will serve as the JV's equity capital, for up to ILS 3.3 billion in financing. Mediterranean Towers, a leader in senior housing complexes in Israel, will invest ILS 200 million in the joint venture and will own 51% of the rights and capital of the JV. Advs. David (Dudi) Cohen and Omri Oren represented Mediterranean Towers in the deal.

As an expert on international law, Prof. Amichai Cohen, a special counsel at our firm, was interviewed on the “One a Day” podcast hosted by Elad Simchayoff. Amichai discussed the chances of Israel being found guilty of genocide by the International Court of Justice in The Hague.

Israel Acquisitions Corp, initially founded as a SPAC, and Pomvom Ltd., a technology firm specializing in amusement park content, have formally announced a binding merger agreement. The combined entity is set to be traded on Nasdaq. Hagit Ross, Alon Anava, and Ronit Lerer represented Pomvom Ltd.
